Kids Code Jeunesse is looking for a Canadian with experience in auditing, finance, and/ or risk management to join our Board of Directors. The candidate will also be part of the Risk Management amp; Audit Committee.

APPELLATION DU POSTE: Conseil d’administration de KCJ - Expérience dans le domaine de l'audit et des finances

Conseil d’administration de KCJ 2020 - 2021

Kids Code Jeunesse est à la recherche d’un Canadien(ne) ayant de l'expérience en audit, en finance et/ou en gestion des risques pour rejoindre notre conseil d’administration. Le nouveau member fera également partie du comité de gestion des risques et d’audit.

Requirements

Board of Directors Role

  • A Director* is fully informed on organizational matters and participates in the Board’s deliberations and decisions in matters of governance, policy, finance, strategic direction, compliance and organizational development. Through this role, there are three legal duties that the Board Director must fulfill:
  • Duty of Diligence The Board Director has a legal responsibility to act reasonably, prudently, in good faith, and with a view to the best interests of the organization and its members. The Board Director must exercise his or her best judgment while doing so.
  • Duty of Loyalty The Board Director must put the interests of the organization before their personal and professional interests when acting on behalf of the organization in a decision-making capacity. The organization’s needs come first.
  • Duty of Obedience The Board Director bears the legal responsibility of ensuring that the organization complies with the applicable federal, state, and local laws and adheres to its mission.

Evaluation

A Director is evaluated annually based on the performance of assigned Board requirements and duties.

Time Requirements

You must be available for 2 - 4 hours a month including board meetings, preparing for board meetings, participating in committees or other contributions to the work of the organization, and attending a special event.

*The position is a voluntary role. Directors are covered by Board of Directors insurance.
